　　新浪科技讯 3月18日晚间消息，阿里影业发布公告，公司合并附属公司影业(浙江)与投资者股东、创始股东、创始人、优酷信息及天津银河酷娱订立股权转让协议。

　　协议内容为，阿里巴巴影业(浙江)向投资者股东收购天津银河酷娱共约28.81%股权，总代价不超过人民币2.77亿元。阿里巴巴影业(浙江)向创始股东收购天津银河酷娱共约31.18%股权，总代价不超过人民币1.23亿元。

　　于该公告日期，天津银河酷娱注册资本为人民币3760.68万元，博方融智、天津利合、优酷信息、云锋、创时信和及洪泰分别持有其约29.56%、21.63%、20%、12.27%、12.27%及4.27%股权。

　　根据该协议，天津银河酷娱集团成员公司须于完成后3个月内向天津银河酷娱董事会提出建议，通过剥离和整合其于艺人经纪服务及制作电影、剧集及社交电子商务全部或部分业务的方式进行业务重组。

　　天津银河酷娱集团主要在中国从事开发、制作、发行及营销综艺节目、剧集和社交电子商务，以及提供艺人经纪服务。阿里影业方面表示，通过纳入银河酷娱的综艺制作业务，阿里影业将着力搭建自己的综艺制作团队，从而构建“电影+剧集+综艺”的全品类项目的制作能力，更好地为用户和市场提供高品质内容；同时，鉴于综艺项目形式灵活的特点，阿里影业也能够将综艺制作业务与现有的淘票票（电影宣发）、剧集制作、阿里鱼（衍生品）等各条业务线开展合作、共同研发综艺项目，充分发挥生态内各业务线之间的协同效应。（何畅）

According to the agreement, the member companies of Tianjin Yinhe cool entertainment group shall, within 3 months after completion, make suggestions to the board of directors of Tianjin Yinhe cool entertainment group to restructure their business by divesting and integrating all or part of their business in artist brokerage service, film production, drama production and social e-commerce.

Tianjin Yinhe cool Entertainment Group is mainly engaged in the development, production, distribution and marketing of variety shows, dramas and social e-commerce in China, as well as providing artist brokerage services.
